Corporate law: JSH has worked with founding of and capital transactions in corporations, limited companies and different kinds of partnerships, sale and purchase of shares and businesses, security trading and stock exchange issues, board issues, board of directors work corporate governance and regulatory issues. He has experience from different industries, shipping, oil and offshore activities and insurance. He has litigated several cases within these areas before the regular courts and in arbitration.
Compliance and corruption: JSH has assisted large and medium sized companies with the adoption of internal rules and regulations for governance, code of conduct etc., thereunder working out programmes for dilemma training. Further, he has performed internal and external investigations of large and smaller businesses in order to uncover irregularities and breach of internal rules. His experience in dealing with the regulatory authorities in such matters is very valuable.
Contract law: JSH has long experience with legal contract issues, also in international relations. He has worked with financing and manufacturing contracts, construction contracts, distributorship and agency contracts, sale and purchase of businesses and is experienced in working with different Norwegian standard contracts, such as NL01, NLM09, NS 8405 and NF. He has litigated several cases within these areas before the regular courts and in arbitration.
Arbitration and litigation: JSH is qualified to plead before the Norwegian supreme court and has long experience in pleading arbitration cases, both ad hoc arbitration and institutional arbitration, for example Stockholm Chamber of Commerce Arbitration. He is well versed with international arbitration in which the cases are prepared and pleaded in the English language.
Arbitrator: Due to his broad experience within several industries and legal sectors, JSH is especially well qualified to work as an arbitrator and has long experience with this kind of work. He has undergone additional training and education in the Danish and Norwegian bar associations as an international arbitrator. He is experienced in working as an arbitrator in international relations in which preparations and pleadings are conducted in the English language.
Jørgen Stang Heffermehl has undergone further education as arbitrator and has long experience as such. He regularly sits as arbitrator, often with one foreign party.
Among the recent cases may be mentioned:
· Chair of the arbitration panel in a case between a foreign agency company as claimant and a listed Norwegian offshore construction company involving review of inter alia offshore construction contracts, an agency agreement and various corruption issues.
· Chair of the arbitration panel in a case between a foreign company as claimant and a Norwegian investment company involving review of guarantee issues under a share purchase agreement and invalidation of an expert opinion. The case was pleaded and the award written in English.
· Chair of the arbitration panel in a case between a Norwegian company as claimant and a foreign company involving review of various charter party agreements, thereunder choice of law and maritime law issues. The case was pleaded and the award written in English.
· Chair of the arbitration panel in a case between a Norwegian company as claimant and a foreign company involving review of various payment guarantee issues relating to a shipbuilding contract. The case was pleaded and the award written in English.
